Terms of Service

1. Acceptance of Terms

By accessing or using the website and services of BIG BS Lawn Mower Repair LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and BIG BS Lawn Mower Repair LLC.

2. Description of Services

BIG BS Lawn Mower Repair LLC provides lawn mower and small engine repair services including, but not limited to:

• Equipment diagnostics and inspection
• Lawn mower repair and maintenance
• Small engine repair (trimmers, chainsaws, blowers)
• Seasonal tune-ups (spring start-up, winterization)
• Blade sharpening and replacement
• Complete equipment restoration
• Commercial fleet maintenance programs

The specific scope and pricing of services will be discussed and agreed upon between BIG BS Lawn Mower Repair LLC and the customer before work begins.

3. Customer Obligations

As a customer of BIG BS Lawn Mower Repair LLC, you agree to:

• Provide accurate information about the equipment and any known issues.
• Ensure that equipment brought for service is your property or you have authorization to have it serviced.
• Pick up completed equipment within 30 days of notification of completion.
• Make payments upon completion of service unless other arrangements are made.

4. Equipment and Parts

4.1 Customer Equipment

You retain ownership of all equipment you bring to us for service. We are not responsible for equipment left more than 60 days after notification of completion.

4.2 Replaced Parts

Old parts replaced during service become our property unless you request them at the time of service. We may dispose of replaced parts as we see fit.

4.3 Parts and Materials

Parts used in repairs are sourced from reputable suppliers. We stand behind the quality of parts we install but manufacturer warranties may vary.

5. Fees and Payment

• All fees are outlined in the applicable service agreement or Statement of Work.
• Invoices are due within 30 days of the invoice date unless otherwise agreed.
• Late payments are subject to a 1.5% monthly interest charge on the outstanding balance.
• All fees are exclusive of applicable taxes, which will be added where required.
• We reserve the right to suspend services for accounts with overdue payments exceeding 60 days.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the course of the engagement. Confidential information includes business strategies, financial data, customer lists, marketing plans, and any information designated as confidential. This obligation survives the termination of services for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• BIG BS Lawn Mower Repair LLC's total liability under these Terms shall not exceed the fees paid by you for the specific service in question.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• We are not responsible for pre-existing damage or wear to equipment, or issues unrelated to our repair work.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner, consistent with industry standards. Except as expressly stated herein, all services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

• Either party may terminate the engagement with 30 days written notice.
• We may terminate immediately if you breach these Terms or the service agreement and fail to cure such breach within 14 days of written notice.
• Upon termination, you are responsible for payment of all fees for services rendered through the date of termination.
• Sections on Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification survive termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless Apex Agency, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party rights; or (c) content or materials you provide to us for use in marketing campaigns.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, acts of war, pandemics, government regulations, Internet outages, or platform outages by third-party services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Spokane County, Washington.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website at least 30 days before they take effect. Your continued use of our services after such modifications constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
